Terms of Service

These terms govern your use of PayCycle (the "Service"), operated by Hallett Technology Ltd, registered in England and Wales (company no. 17308053) ("we", "us"). By using the Service you agree to them. If you don't agree, please don't use the Service.

1. The Service

PayCycle helps manage the UK construction payment cycle. The Service is provided "as is": it is a young product that will change and improve over time and may occasionally have interruptions, and you should not rely on it as your only record. Keep your own copies of important documents.

2. Eligibility & accounts

You must be 18+ and use the Service for business purposes. You're responsible for your account credentials and for activity under your account. Tell us promptly of any unauthorised use.

3. AI features — assistance, not advice

PayCycle uses AI to help review applications, draft notices and documents, and answer questions. AI output is assistance only. It is not legal, contractual, financial or professional advice, may contain errors, and must be checked and approved by a competent person before you rely on it or issue anything based on it. You remain responsible for all certifications, notices, invoices and decisions you make. To the extent permitted by law, we are not liable for reliance on AI output.

4. Acceptable use

Don't use the Service unlawfully; don't upload data you have no right to; don't attempt to break, overload, reverse-engineer or gain unauthorised access to it; and don't use it to build a competing product.

To report unlawful, infringing or abusive content (including anything received through a submission link), email hello@paycycle.uk. We may remove content or suspend accounts on notice while a report is investigated.

5. Your data

You own the content you put into the Service. You grant us the limited right to process it to provide the Service. We handle personal data as described in our Privacy Policy, acting as your processor for the project/contract/financial data you enter. You're responsible for having the right to upload that data and for its accuracy.

Uploads, file sizes & compression. To keep the Service fast and storage predictable, we apply reasonable limits to uploaded files and automatically resize and compress photos you upload— the copy we store may be smaller and of lower resolution than your original. Current limits are 8 MB per photo and 15 MB per PDF, and we accept common photo formats (JPG, PNG, WebP, HEIC) and PDF documents only; we may change these limits. The stored version is intended for evidence and reference, not as a forensic-quality original — keep your own copies of original files where you need them.

6. Fees, cancellation & refunds

Paid plans start with a 14-day free trial; the price of each plan is shown on the pricing page and presented before any charge applies. Payments are handled by our merchant of record, Paddle, who also collects any applicable VAT.

Paid plans are billed monthly or annually. You can cancel at any time, effective at the end of the current billing period — there are no cancellation fees. Beyond the trial and any statutory rights, fees for a billing period that has already started are generally non-refundable — but if something has gone wrong, contact us at hello@paycycle.uk or raise it with Paddle, and we'll look at it properly. If you contract as a consumer, any statutory cancellation rights (including a 14-day cooling-off period where it applies) are honoured through Paddle. Promotional offers (such as founding-member pricing) are limited as stated when the offer is made, are one per customer, and can't be combined or exchanged for cash.

Continuity:if we ever decide to close PayCycle down, you will get at least 90 days' notice, full export of your data in standard formats will remain available throughout that period and for 30 days after, and any prepaid time beyond closure will be refunded.

7. Intellectual property

We own the Service and its software, design and content (excluding your data). These terms don't transfer any of our IP to you.

8. No warranties

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, including fitness for a particular purpose or uninterrupted availability.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, data or goodwill. Our total liability to you is limited to the greater of £100 or the fees you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud).

10. Termination

You can stop using the Service and close your account at any time. We may suspend or end access if these terms are breached or the Service is discontinued. On termination, your data is handled per the Privacy Policy.

11. Governing law

These terms are governed by the laws of England and Wales, and its courts have exclusive jurisdiction.
